
Hospitality group African Sun Limited has announced plans to delist from the Victoria Falls Stock Exchange, in a move the board says is aligned with its ongoing strategic review and value-unlocking initiatives.
In a cautionary statement issued on February 12, 2026, the company said its board of directors had approved the proposed delisting, subject to regulatory approvals and shareholder consent.
“The Board of Directors of African Sun Limited (the ‘Company’) wishes to advise Shareholders and the investing public that the Board has approved the delisting of the Company from the Victoria Falls Stock Exchange,” the statement reads.
The proposed delisting will be accompanied by an offer to repurchase a portion of the company’s issued ordinary shares from shareholders.
“The proposed delisting will be accompanied by an offer by the Company to repurchase a portion of its issued ordinary shares from Shareholders, subject to obtaining the requisite regulatory approvals and Shareholder consents,” the company said.

African Sun indicated that the transaction forms part of broader efforts to enhance operational flexibility and support long-term strategic objectives.
“The proposed transaction aligns with the Board’s ongoing strategic review and value-unlocking initiatives, aimed at enhancing operational flexibility and supporting the Company’s long-term strategic objectives,” reads part of the notice.
The company said further details would be provided once all regulatory processes and internal deliberations have been concluded.

African Sun also cautioned investors that the transaction may have a material effect on its shares and urged them to exercise prudence.
“As the transaction may have a material effect on the Company’s shares, Shareholders are advised to exercise caution and consult their professional advisers when trading in the shares of African Sun Limited,” the company said.
