Mutoko company secretary faces US$300k fraud charge over family bus firm

 

A company secretary is accused of unlawfully removing a director from a decades-old transport company and installing new board members who then took control of the business.

The alleged actions are said to have deprived the complainant of rental income from company properties worth hundreds of thousands of dollars.

Tsamwisai Richards Chitombo, a company secretary employed by Mazarura Holdings who resides at 543 Low Density, Mutoko, appeared before Harare Regional Magistrate Jesse Kufa facing a fraud charge.

She was released on US$300 bail.

Court records show that Mazarura Bus Service and Stores (Pvt) Ltd was registered in 1986 under the Companies Act with registration number 924/86.

At incorporation, the late Killian Mazarura held 10,000 shares as the majority shareholder, while Shingirai Mazarura and Chris John Mazarura each held one share.

Faith Zenga was the company's first secretary.

The firm built its operations around the Harare–Nyamapanda bus route before expanding into property investment.

Over the years, it acquired more than 100 buses, commercial stands in Mutoko, Murehwa, Suwe, Kotwa, Nyamapanda, Makaha and Harare, as well as heavy-duty trucks and luxury vehicles.

Chitombo was appointed company secretary on April 1, 2003, after Faith Zenga resigned.

Prosecutors allege the dispute began in February 2018, shortly after the death of Killian Mazarura.

The complainant, Chris John Mazarura, 54, a self-employed businessman from 330 Affirmative Way, Willowvale, Harare, later travelled to South Africa to wind up another business.

When he returned to Zimbabwe in November 2025, he allegedly discovered that he had been removed as a director without his knowledge or consent and that his shares had not been issued.

The State further alleges that in 2018, Chitombo irregularly appointed Trevor Mazarura and Charles Mazarura as directors and allocated shares to them without following the required corporate procedures.

The two allegedly assumed control of Mazarura Bus Service and Stores (Pvt) Ltd and have been collecting rental income from properties registered in the company's name since 2018.

As a result, Mazarura claims he suffered actual prejudice amounting to US$300,000, which has not been recovered.
