US$3 Million Quadcam Ownership Dispute Lands Beneficiary in Court

 

A bitter ownership dispute involving Quadcam Pvt Ltd, a company valued at US$3 million, has spilled into the Harare Magistrates’ Court, with allegations of fraud and unlawful alteration of company records.

The dispute involves the estate of the late Hamphrey Vengesai and Fausta Penza, who are pitted against Tafadzwa Mhangarai Vengesai (38), a beneficiary of the estate. Tafadzwa is accused of unlawfully altering company documentation without the consent of the board or other stakeholders.

According to court proceedings, Kumbirai Chipungu, acting on behalf of Quadcam Pvt Ltd, initiated a process in 2024 to replace lost company documents at the Deeds and Companies Registry.

However, Tafadzwa Vengesai allegedly intercepted the process and unlawfully applied for the re-registration of the company without the requisite approvals.

Prosecutors allege that Vengesai bypassed the board of directors and other stakeholders, re-registering the company with the Registrar of Deeds and Companies and replacing the original directors with himself and Bridget Emma Demera.

The alleged fraud came to light when Vengesai gazetted his intention to replace the company’s documents in a local newspaper. Attempts by interested parties to engage him and reverse the changes proved unsuccessful, prompting the filing of a police report on July 29, 2025.

Vengesai is said to have fled to Tanzania shortly after the report was filed but was arrested on February 24, 2026, and brought back to Zimbabwe to face charges.

He was granted US$300 bail and is expected to return to court on April 14 for further proceedings.
