
Caledonia Mining Corporation Plc has announced a material change in its shareholder structure after global asset manager BlackRock, Inc. crossed a regulatory disclosure threshold in its holding of the mining company.
In a statement issued on January 21, Caledonia said it received formal notification from BlackRock on January 19, 2026, confirming that the threshold was crossed on January 16, 2026, in line with the AIM Rules for Companies.
According to the disclosure, BlackRock now holds a total of 6.20% of Caledonia’s voting rights, combining direct share ownership and financial instruments with a similar economic effect.
The holding comprises 5.63% of voting rights attached to shares and an additional 0.56% through financial instruments, specifically contracts for difference settled in cash. The total voting rights held amount to 1,197,834 shares.

The notification was made using the standard TR-1 form for major holdings and was submitted to both Caledonia and the UK Financial Conduct Authority. Caledonia is classified in the filing as a non-UK issuer, with its shares listed on the NYSE American, AIM in London, and the Victoria Falls Stock Exchange under the ticker symbol CMCL.
BlackRock, Inc., headquartered in Wilmington, Delaware, is identified as the entity responsible for the notification. The disclosure outlines an extensive chain of controlled undertakings through which the voting rights and financial instruments are held, reflecting BlackRock’s global corporate structure.
These entities span multiple jurisdictions, including the United States, the United Kingdom, Jersey, the Cayman Islands, Singapore, Japan, Australia, Canada, and Luxembourg.
The filing also indicates that BlackRock Fund Advisors accounts for 3.04% of the voting rights within the wider BlackRock group structure. The previous notification showed a combined holding of 5.81%, meaning the latest change represents an increase in BlackRock’s overall economic exposure to Caledonia Mining.
