Prime Directors Arraigned Over Forged Resolution in US$2m Property Fraud

Two directors of Prime Homes Pvt Ltd have appeared in court accused of forging a company resolution to place the firm under liquidation and facilitating the sale of its 14-hectare Marlborough property for US$1.2 million without authority.

Gerald Mudzonga (52) and Patricia Taonesa (48) appeared before the Harare Magistrates’ Court facing fraud and impersonating a police officer charges.

The State alleges that in April 2025, the pair forged a board resolution purporting to have been signed on July 16, 2024, by fellow directors Fungai Phiri, David Chiwayawaya, Mudzonga and Taonesa.

The resolution allegedly authorised the liquidation of Prime Homes, which was incorporated in 2013 and is involved in property acquisition, housing construction and civil engineering.

Using the alleged forged document, the accused reportedly approached the Master of the High Court, claiming the company had outstanding obligations to the Zimbabwe Revenue Authority and the City of Harare.

The High Court subsequently appointed Oliver Masomera of Obraum Trust Company Pvt Ltd as provisional liquidator.

The court heard that the trust then engaged estate agents to market Prime Homes’ property, prompting other directors to report the matter to police after discovering that the land was being advertised for sale.

Investigations allegedly established that the property was later sold to Veromix Trading Pvt Ltd for US$1.2 million. A US$600,000 deposit was reportedly paid, with the balance due upon transfer and payment of capital gains tax.

The State alleges that Prime Homes suffered actual prejudice of US$2 million. No property has been recovered.

The matter was remanded for further proceedings.
