Former Auto Spares Manager Accused of Forging Directorship Documents

 

A Harare man has appeared in court facing forgery charges after allegedly appointed himself as a director of an auto parts company using fraudulent corporate documents.

Julius Mugariri appeared before Harare magistrate Ruth Moyo and was granted bail. He will return to court on a later date.

According to the State, Mugariri allegedly submitted a CR6 form in May 2022 listing himself as a director of Adlan Auto Spares (Private) Limited without the approval of the company's shareholders or board of directors.

The matter came to light after Pamela Chidikwindi, who had been given power of attorney to manage the company's affairs while director Brian Ndudzo underwent medical treatment, commissioned a review of the business's operations.

The review reportedly uncovered irregularities, prompting a forensic audit by TMC Chartered Accountants.

Investigators allegedly discovered company records showing that Mugariri had been registered as a director through the filing of a CR6 form.

Prosecutors told the court that no company resolution authorising the change in directorship could be produced, as required under the Companies and Other Business Entities Act.

The State further alleges that neither shareholders nor the board approved Mugariri's appointment.

When questioned about the matter, Ndudzo reportedly denied ever appointing Mugariri as a director, saying he had only worked as the company's manager.

Prosecutors allege that Mugariri maintained he had been appointed before Ndudzo fell ill and suggested that the director may have forgotten due to memory problems linked to his illness.

The matter was subsequently reported to the police, leading to Mugariri's arrest.
