
Invictus Energy Limited has reaffirmed its commitment to high corporate governance standards, reporting full compliance with the Australian Securities Exchange’s 4th Edition Corporate Governance Principles and Recommendations for the 2025 financial year.
According to the company’s 2025 Corporate Governance Statement, Invictus’ governance framework is anchored on transparency, accountability and ethical leadership, and aligns with the ASX Corporate Governance Council’s eight core principles.
The Board, chaired by John Bentley, comprises five directors — four of whom, including Joe Mutizwa, Gabriel Chiappini and Robin Sutherland, are independent — ensuring strong oversight and balanced decision-making.
The statement highlights compliance across key governance areas, including the operation of fully independent Audit & Risk and Remuneration Committees, each chaired by independent directors. Both committees met their obligations for the year, with all members attending scheduled meetings.

The Nomination Committee, chaired by Mutizwa, continues to maintain a transparent process for board appointments and performance evaluations. The Audit & Risk Committee, chaired by Chiappini, was responsible for overseeing financial reporting integrity, risk controls and regulatory compliance.
Invictus also outlined its adherence to key corporate policies covering whistleblowing, anti-bribery, diversity and continuous disclosure. While the company has not set formal gender diversity targets due to its relatively small size, 27% of its total workforce and 11% of senior management roles are currently held by women.
The company appointed a female Chief Financial Officer in 2024.
“The Board continually reviews its governance framework to ensure it remains effective and aligned with the company’s growth objectives and stakeholder expectations,” the statement noted.
