ZB Shareholders to Vote on US$1.47m Dividend

 

ZB Financial Holdings Limited will hold its 37th Annual General Meeting virtually on June 26, 2026, where shareholders are expected to consider and approve the group's 2025 financial statements, dividend declaration, director re-elections and auditor appointments.

In a notice to shareholders, the financial services group said the meeting would be conducted through the Microsoft Teams platform starting at 10am.

Among the key resolutions to be considered is the confirmation of a final dividend of US$1.47 million for the year ended December 31, 2025.

Shareholders will be asked "to confirm a final dividend of US$1,471,601.39, which represents US$0.84 cents per ordinary share for the year ended 31 December 2025 and payable in respect of 175,190,642 ordinary shares in issue."

The AGM will also consider the adoption of the company's financial statements and reports for the 2025 financial year.

According to the notice, shareholders will be requested "to receive, consider, and adopt, if appropriate, the financial statements and the reports of the Directors and Auditors for the year ended 31 December 2025."

Board changes will also be on the agenda, with directors Agnes Makamure and Thenjiwe Sibanda retiring by rotation and seeking re-election.

The company said: "The directors have offered themselves for re-election."

Makhosazana Melissa Sibanda, who joined the board after the previous AGM, will also retire in line with the company's Articles of Association and is seeking shareholder approval to continue serving as a director.

Shareholders will further be asked to approve directors' remuneration for the past financial year and the remuneration of external auditors Ernst and Young (Zimbabwe), who have served as auditors of the company for three financial periods.

The board is recommending the reappointment of Ernst and Young (Zimbabwe) as auditors for the ensuing financial year.

ZB Financial Holdings said shareholders who cannot physically participate will be able to join electronically.

"The Company will therefore facilitate electronic participation at the meeting for any such affected members," the notice said.
